Web Hosting Agreement

NGNM NON-COMMERCIAL WEB HOSTING AGREEMENT

This Agreement is entered into between NGNM Non-Commercial Web Hosting LLC, a New Mexico limited liability company (“Host”), and the individual or organization using the services (“Client”).

By using the Host’s infrastructure, the Client agrees to the following terms.

This document exists to protect both the hosting infrastructure and the collectives that rely on it. It clarifies that infrastructure support does not equal editorial control, publication, endorsement, or partnership.

1. Nature of Services – Neutral Infrastructure Only

The Host provides server infrastructure and technical connectivity only.

The Host acts as a neutral, privacy-first technical intermediary.

The Host:

  • Does not monitor content

  • Does not pre-approve content

  • Does not moderate content

  • Does not curate ideology

  • Does not manage communities

  • Does not exercise editorial control

All services are provided “as is” without warranty of uninterrupted availability, immunity from seizure, or protection from legal process.

Infrastructure support does not create:

  • A partnership

  • An agency relationship

  • A joint venture

  • Editorial control

  • Beneficial ownership

  • Legal responsibility for content

Each Client remains fully autonomous.

2. No Editorial Control & Intermediary Status

The Host is an infrastructure provider within the meaning of applicable intermediary liability principles.

The Host has:

  • No general obligation to monitor content

  • No duty to investigate user activity absent legally sufficient notice

  • No obligation to pre-screen uploads

The Host shall not be treated as the publisher or speaker of content provided by Clients or end users.

Content remains the sole responsibility of the Client.

3. Identity, Logging & Surveillance

The Host operates under a strict minimal-data model.

We do not:

  • Require identity verification (KYC)

  • Collect unnecessary personal data

  • Conduct behavioral tracking

  • Monetize traffic data

Operational logs necessary for system integrity may be temporarily generated but are not retained beyond what is technically required.

The Host does not voluntarily cooperate with law enforcement, private corporations, or third parties absent valid and enforceable legal process from a competent U.S. court.

Nothing in this section shall be interpreted as obstructing lawful court orders.

4. Client Responsibility

Client bears full and sole responsibility for:

  • All content hosted

  • Domain use

  • Application use

  • Community governance

  • Legal compliance

The Host is not liable for:

  • Copyright claims

  • Trademark claims

  • Defamation allegations

  • Regulatory violations

  • User conduct

  • Third-party disputes

Client affirms that hosted content complies with laws applicable to them.

5. Copyright & Legal Notice Handling

The Host maintains a designated agent registered with the United States Copyright Office pursuant to 17 U.S.C. §512(c)(2).

The Host will respond expeditiously to valid notices of claimed infringement that comply with 17 U.S.C. §512(c)(3).

The Host may:

  • Disable access to allegedly infringing material

  • Forward notices to the Client

  • Require statutory compliance before acting

Counter-notifications will be processed consistent with 17 U.S.C. §512(g).

The Host maintains and enforces a repeat infringer policy as required by law.

Failure of a Client to comply with repeat infringement policies may result in suspension or termination.

The Host has no obligation to enforce foreign intellectual property regimes absent binding U.S. legal process.

6. Suspension & Risk Protection

The Host may suspend or terminate services where:

  • Infrastructure is used for DDoS attacks or mass spam

  • Services create material legal risk to the Host

  • Binding legal orders require action

Mere accusations, ideological disagreement, or informal pressure do not constitute grounds for termination.

The Host reserves discretion to act where necessary to protect operational continuity.

7. Limitation of Liability

To the fullest extent permitted by law, the Host’s total liability shall not exceed the fees paid by the Client during the preceding twelve (12) months.

The Host shall not be liable for:

  • Indirect damages

  • Consequential damages

  • Lost profits

  • Data loss

  • Business interruption

Even if advised of potential risk.

8. Indemnification

Client agrees to indemnify, defend, and hold harmless the Host, its members, managers, contractors, and agents from any claims, liabilities, damages, losses, costs, or legal fees arising from:

  • Hosted content

  • Domain use

  • Client conduct

  • Third-party disputes

This obligation survives termination.

9. No Partnership or Financial Participation

Use of the Host’s infrastructure does not create:

  • Revenue sharing

  • Financial partnership

  • Editorial collaboration

  • Agency authority

The Host does not receive revenue derived from Client content unless separately agreed in writing.

Infrastructure support does not equal endorsement.

10. Privacy & Disclosure Policy

The Host supports anonymous communication and decentralized publishing.

The Host:

  • Does not confirm hosting relationships publicly

  • Does not disclose Client identities voluntarily

  • Evaluates legal communications based on statutory sufficiency and binding jurisdiction, not on public pressure or informal demands.

Disclosure may occur only pursuant to valid, enforceable U.S. legal process.

Where legally permitted, affected Clients will be notified.

The Host will narrowly interpret the scope of legal demands.

11. Governing Law & Jurisdiction

This Agreement is governed by the laws of the State of New Mexico, United States.

To the fullest extent permitted by law, disputes shall be brought in state or federal courts located in New Mexico.

Nothing in this Agreement waives jurisdictional defenses available to the Host.

12. Severability

If any provision of this Agreement is found unenforceable, the remaining provisions remain in effect.
